These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and ReviewFirefly ("ReviewFirefly," "we," "our," or "us"), a marketing services company based in Ontario, Canada.
By signing up for our services, completing an onboarding form, making a payment, or otherwise engaging ReviewFirefly to perform services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a business, you represent that you have the authority to bind that business.
If you do not agree to these Terms, do not use our services.
2. Description of Services
ReviewFirefly provides reputation marketing services to home service businesses and other local businesses, including:
Google review generation: automated outreach to your existing customers requesting Google reviews on your behalf
Reputation monitoring: tracking and reporting on your Google review count, average rating, and review activity
Local SEO support: services aimed at improving your visibility in local Google search results and Google Maps
Related marketing consulting and support as agreed upon in writing
The specific scope of services, pricing, and deliverables for your account will be outlined in a separate service agreement, proposal, or order form (collectively, "Service Agreement"). In the event of any conflict between these Terms and a Service Agreement, the Service Agreement shall govern with respect to the specific services described therein.
3. Free Trial
ReviewFirefly may offer a free trial period at its sole discretion. During the free trial:
We will load your existing customer list into our platform and initiate a review request campaign on your behalf
Results during the trial (including any new Google reviews generated) are yours to keep regardless of whether you continue as a paying client
No payment information is required to begin a free trial unless otherwise stated
ReviewFirefly reserves the right to modify or discontinue free trial offerings at any time without notice
At the conclusion of the free trial period, continued use of our services requires enrollment in a paid plan. We will notify you before any trial converts to a paid subscription.
4. Fees and Payment
4.1 Pricing
Fees for our services are set out in your Service Agreement or as displayed on our website at the time of purchase. All fees are in Canadian dollars (CAD) unless otherwise specified. For U.S. clients, fees may be quoted in U.S. dollars (USD) as agreed in writing.
4.2 Billing
Unless otherwise agreed, services are billed on a monthly recurring basis in advance. Your subscription will automatically renew each month until cancelled in accordance with Section 9 of these Terms.
4.3 Payment Processing
Payments are processed through our third-party payment processor. By providing payment information, you authorize us to charge the applicable fees on a recurring basis. You are responsible for ensuring your payment information is accurate and up to date.
4.4 Late Payment
If payment is not received by the due date, we reserve the right to suspend your services until payment is received. Accounts overdue by more than 30 days may be referred for collection. You are responsible for any costs associated with collecting overdue amounts.
4.5 Taxes
Fees are exclusive of applicable taxes. Canadian clients may be subject to HST/GST as applicable. U.S. clients are responsible for any applicable sales or use taxes in their jurisdiction.
5. Client Responsibilities
By engaging ReviewFirefly, you agree to the following:
5.1 Accurate Information
You will provide accurate, current, and complete information about your business, your Google Business Profile, and your customer list. You will promptly notify us of any material changes.
5.2 Customer List and Consent
You represent and warrant that any customer list you provide to ReviewFirefly:
Contains only information about individuals with whom you have an existing business relationship
Was collected lawfully and in compliance with all applicable laws in your jurisdiction
For Canadian contacts: complies with Canada's Anti-Spam Legislation (CASL), including that applicable implied or express consent exists
For U.S. contacts: complies with the CAN-SPAM Act and, where mobile numbers are provided for SMS outreach, that prior express written consent under the Telephone Consumer Protection Act (TCPA) has been obtained from each individual
Does not include individuals who have previously opted out of receiving communications from your business
You acknowledge that ReviewFirefly acts as a service provider sending messages on your behalf. You, as the business owner, remain the legally responsible sender of all communications. You agree to indemnify and hold ReviewFirefly harmless from any claims, fines, or liabilities arising from your failure to comply with these requirements.
5.3 Google Policies
You acknowledge that Google's policies prohibit incentivizing, purchasing, or artificially generating reviews. ReviewFirefly's services are designed to solicit genuine reviews from your actual customers. You agree not to use our services in any manner that violates Google's review policies. ReviewFirefly is not responsible for any action Google takes against your Business Profile, including removal of reviews or account suspension.
5.4 Cooperation
You will cooperate reasonably with ReviewFirefly to enable delivery of the services, including providing timely access to your Google Business Profile, approving communications templates, and responding to reasonable requests for information.
6. No Guarantee of Results
ReviewFirefly provides tools and services designed to help your business generate more Google reviews and improve local search visibility. However, we make no guarantee of specific results, including:
A specific number of reviews generated
A specific improvement in your Google star rating
A specific improvement in your search ranking or visibility
That reviews generated through our platform will not be removed by Google
Results depend on many factors outside our control, including your customers' willingness to leave reviews, Google's algorithms and policies, the quality and recency of your customer list, and your business's overall online presence. Our obligation is to deliver the services described in your Service Agreement professionally and in good faith.
7. Intellectual Property
7.1 ReviewFirefly IP
All intellectual property in ReviewFirefly's platform, workflows, templates, processes, systems, and website content is and remains the exclusive property of ReviewFirefly. These Terms do not grant you any license to our intellectual property except as necessary to receive the services.
7.2 Client Content
You retain ownership of all content, data, and information you provide to us, including your customer lists and business information. You grant ReviewFirefly a limited, non-exclusive license to use this information solely for the purpose of delivering the services during the term of your engagement.
7.3 Reviews
Google reviews generated through our services are submitted by your customers to Google's platform and are subject to Google's terms and policies. ReviewFirefly claims no ownership over the content of any reviews.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services, and to use such information only for the purposes of performing or receiving the services. This obligation does not apply to information that is or becomes publicly known through no breach of this agreement, or that is required to be disclosed by law.
ReviewFirefly will treat your customer lists and business data as confidential information. We will not use, sell, or disclose this information to any third party except as required to deliver the services or as required by law.
9. Term and Termination
9.1 Term
These Terms begin on the date you first engage our services and continue until terminated by either party in accordance with this section.
9.2 Cancellation by Client
You may cancel your subscription at any time by providing written notice to ReviewFirefly at least 7 days before your next billing date. Cancellation will take effect at the end of your current billing period. No refunds are provided for the remainder of a paid billing period after cancellation, unless otherwise agreed in writing.
9.3 Termination by ReviewFirefly
ReviewFirefly may suspend or terminate your access to our services immediately if:
You breach these Terms and fail to remedy the breach within 5 business days of written notice
You fail to make payment when due
We reasonably believe your use of our services violates applicable law or Google's policies
We determine, in our sole discretion, that continuing the relationship would expose us to legal or reputational risk
9.4 Effect of Termination
Upon termination, your access to our services will cease. ReviewFirefly will delete or return your customer data upon written request, subject to any retention obligations under applicable law. Any fees owing at the time of termination remain due and payable. Sections 5, 6, 7, 8, 10, 11, and 12 of these Terms survive termination.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REVIEWFIREFLY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO REVIEWFIREFLY IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL REVIEWFIREFLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
11. Indemnification
You agree to indemnify, defend, and hold harmless ReviewFirefly and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
Your breach of these Terms
Your violation of any applicable law, including CASL, CAN-SPAM, TCPA, or any privacy law
Your customer list, including any claims by individuals on that list
Your use of our services in a manner not authorized by these Terms
Any inaccurate information you provide to ReviewFirefly
12. Dispute Resolution and Governing Law
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
12.2 Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved within 30 days of written notice, either party may pursue their available legal remedies.
12.3 Jurisdiction
Subject to Section 12.2, the parties agree to submit to the exclusive jurisdiction of the courts of the Province of Ontario for resolution of any dispute. U.S. clients acknowledge and consent to this jurisdiction.
12.4 Class Action Waiver
To the extent permitted by applicable law, you waive any right to bring or participate in a class action, collective action, or representative proceeding against ReviewFirefly.
13. General Provisions
13.1 Entire Agreement
These Terms, together with any applicable Service Agreement, constitute the entire agreement between you and ReviewFirefly with respect to the services and supersede all prior agreements, representations, and understandings.
13.2 Amendments
ReviewFirefly may update these Terms from time to time. We will notify you of material changes by email or by posting the updated Terms on our website with a revised effective date. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
13.3 Waiver and Severability
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision. If any provision is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.4 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. ReviewFirefly may assign these Terms in connection with a merger, acquisition, or sale of our business.
13.5 Force Majeure
ReviewFirefly will not be liable for any delay or failure to perform our obligations to the extent caused by circumstances beyond our reasonable control, including acts of God, natural disasters, government actions, internet outages, or third-party platform failures (including Google or GoHighLevel).
13.6 Language
The parties confirm that these Terms and all related documents are drafted in English. Les parties confirment que les presentes conditions et tous les documents connexes sont rediges en anglais.
